1. Agreement
These Terms and Conditions govern the use of the website and dispatch services provided by Waypoint Dynamics Dispatch LLC. Using our website or services constitutes acceptance of these Terms.
2. Services
Waypoint Dynamics provides freight dispatch services, including freight sourcing, load negotiation, broker communication, paperwork coordination, route assistance, carrier support, and administrative dispatch services. Waypoint Dynamics is not a freight broker or motor carrier unless separately licensed for those activities.
3. Carrier Responsibilities
The Carrier agrees to maintain active FMCSA operating authority and required insurance; operate legally and safely; maintain equipment; comply with all federal, state, and local regulations; deliver freight safely and on time; and provide accurate documentation. Carrier is solely responsible for drivers, equipment, safety, Hours of Service, cargo securement, and compliance.
4. Dispatch Fees
Fees are outlined in the Dispatch Service Agreement. Unless otherwise agreed, dispatch fees are earned upon securing and dispatching a load, may be deducted according to the signed agreement, and late payments may incur additional charges.
5. No Guarantee
Waypoint Dynamics does not guarantee load availability, freight rates, revenue, weekly income, profitability, or broker approval. Market conditions continuously change.
6. Independent Contractor Relationship
Waypoint Dynamics operates as an independent dispatch service. Nothing creates employment, partnership, joint venture, or agency relationship.
7. Broker Relationships
Waypoint Dynamics may communicate with freight brokers on behalf of carriers. The Carrier remains responsible for final acceptance of loads, performance, delivery, claims, and compliance.
8. Payment
Carrier agrees to pay dispatch fees according to the executed Dispatch Agreement. Failure to pay may result in suspension, termination, collection efforts, or legal action.
9. Website Use
Users agree not to submit false information, attempt unauthorized access, upload malicious software, interfere with website operations, or violate applicable laws.
10. Intellectual Property
All website content, branding, logos, graphics, and materials remain the property of Waypoint Dynamics Dispatch LLC. No content may be copied without written permission.
11. Limitation of Liability
To the maximum extent permitted by law, Waypoint Dynamics Dispatch LLC shall not be liable for lost profits, lost business opportunities, freight claims, cargo damage, equipment failures, delays, broker actions, shipper actions, force majeure events, or indirect or consequential damages. Total liability shall not exceed the amount of dispatch fees paid for the specific services giving rise to the claim.
12. Indemnification
Carrier agrees to defend, indemnify, and hold harmless Waypoint Dynamics Dispatch LLC, its owners, employees, contractors, and affiliates from claims, damages, losses, liabilities, costs, and attorney's fees arising out of the Carrier's operations, regulatory violations, accidents, or breaches of these Terms.
13. Confidentiality
Both parties agree to maintain the confidentiality of rate confirmations, customer information, pricing, login credentials, business records, and trade secrets.
14. Electronic Communications
Carrier consents to receive communications electronically through email, SMS (if opted in), website notifications, and electronic signatures. Electronic communications satisfy legal writing requirements where permitted by law.
15. Termination
Waypoint Dynamics may suspend or terminate services for non-payment, fraud, safety concerns, regulatory violations, misrepresentation, or breach of contract. The Carrier may terminate services according to the Dispatch Service Agreement.
16. Governing Law
These Terms shall be governed by the laws of the State of Louisiana, without regard to conflict of law principles. Any disputes shall be brought in the appropriate state or federal court located in Louisiana unless otherwise agreed.
17. Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
18. Entire Agreement
These Terms, together with any Dispatch Service Agreement and Privacy Policy, constitute the entire agreement between the parties concerning the services provided.
