This Carrier Dispatch Service Agreement ("Agreement") is entered into between Waypoint Dynamics Dispatch LLC ("Dispatcher") and the motor carrier identified in the executed onboarding package ("Carrier").
1. Services
Dispatcher will provide load sourcing, rate negotiation, broker communication, rate confirmation handling, and administrative support as described on the Waypoint Dynamics website.
2. Dispatch Fee
Carrier agrees to pay Dispatcher a fee equal to 10% of the gross revenue on each dispatched load (or the referral-discounted rate then in effect). Fees are earned when a load is booked and dispatched.
3. Payment Terms
Fees are billed weekly. Invoices are due upon receipt. Late invoices may incur a 1.5% monthly service charge. Non-payment may result in suspension, termination, and collection.
4. Carrier Obligations
Carrier will maintain FMCSA authority, insurance minimums required by the broker/shipper, valid W-9, and equipment in safe operating condition; will deliver freight per rate confirmation; and will promptly provide PODs and paperwork.
5. Independent Contractor
The parties are independent contractors. Nothing herein creates an employer/employee, partnership, joint venture, or agency relationship.
6. Term & Termination
This Agreement continues until terminated by either party with written notice. Fees for loads already dispatched remain payable.
7. Limitation of Liability
Dispatcher's total liability is limited to the dispatch fees paid for the specific service giving rise to a claim.
8. Governing Law
This Agreement is governed by the laws of the State of Louisiana.
