1. Confidential Information
"Confidential Information" includes broker relationships, rate data, customer lists, pricing, portal credentials, business records, SOPs, and any information marked confidential or that should reasonably be understood as confidential.
2. Obligations
Each party will (a) use Confidential Information solely to perform the engagement, (b) protect it with at least the same care used for its own confidential information, and (c) not disclose it to third parties without prior written consent.
3. Exclusions
Confidential Information does not include information that is public through no fault of the receiving party, was rightfully known before disclosure, or is required to be disclosed by law.
4. Term
Obligations survive for three (3) years after termination of the engagement. Trade secrets are protected for as long as they remain trade secrets.
5. Remedies
Breach may cause irreparable harm; the disclosing party is entitled to injunctive relief in addition to other remedies.
6. Governing Law
This NDA is governed by the laws of the State of Louisiana.
