Independent Dispatcher (1099) Agreement

Effective Date: July 17, 2026

1. Independent Contractor Status

Dispatcher is engaged as an independent contractor (1099). Dispatcher is not an employee and is responsible for all federal, state, and self-employment taxes.

2. Compensation

Compensation is 40% commission on collected dispatch fees generated by loads booked for assigned carriers, paid weekly.

3. Duties

Dispatcher will source loads, negotiate rates, communicate with brokers, submit paperwork, log check calls, and maintain accurate records in the Waypoint Dynamics portal.

4. Confidentiality

Dispatcher will hold in confidence all carrier data, broker relationships, rate information, and proprietary Waypoint Dynamics processes.

5. Non-Solicitation

During the engagement and for 12 months after, Dispatcher shall not solicit Waypoint Dynamics carriers or brokers away from the Company.

6. Tools & Equipment

Dispatcher provides own computer, phone, and internet. Waypoint Dynamics provides portal access and load-board credentials where applicable.

7. Termination

Either party may terminate with written notice. Earned commissions on delivered loads remain payable.

8. Governing Law

This Agreement is governed by the laws of the State of Louisiana.
