Shipper & Broker Agreement
Standard terms for freight arranged by Waypoint Dynamics.
1. Scope
This agreement covers freight tendered by a shipper or broker ("Customer") to Waypoint Dynamics. Each load is confirmed by a written rate confirmation that, together with this agreement, forms the contract for that load.
2. Rates and payment
Rates are those shown on the rate confirmation. Invoices are due in 15 or 30 days from invoice date as approved on the Customer's credit application; otherwise payment is due before pickup. Late balances may pause further service.
3. Detention
Two (2) hours of free time are allowed at each pickup and delivery. Detention after free time is billed at $75 per hour, documented by arrival and departure times.
4. Layover
A layover is billed at $250 per day when a truck is held overnight through no fault of the carrier.
5. Truck Ordered Not Used (TONU)
If a load is cancelled after a truck has been dispatched, a TONU fee of $150 applies unless a different amount is shown on the rate confirmation.
6. Other accessorials
Lumper, driver assist, extra stops, tarping and similar charges are billed at cost or as quoted, with receipts where applicable.
7. Cargo liability
Cargo claims are handled under the Carmack Amendment (49 U.S.C. § 14706) up to the motor carrier's cargo insurance limit. Claims must be filed in writing within 9 months of delivery with supporting documents.
8. Documents
Signed bills of lading and proofs of delivery are provided with each invoice. Customer shall not hold carriers liable for delays caused by facilities, weather or regulatory hours-of-service limits.
9. Non-solicitation
Customer agrees not to book directly with carriers introduced by Waypoint Dynamics on loads arranged under this agreement for 12 months.
10. General
This agreement is governed by the laws of Louisiana. Questions: (225) 302-8362.
